Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FreshFolio mobile application, websites, and related features and services (collectively, the "Services") provided by ILLYRIA Solutions LLC ("Company," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Eligibility and Accounts

The Services are not directed to children under 13. You must be legally capable of entering into these Terms. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms for you. Some features, including purchases and third-party AI features, may be unavailable or restricted based on age, region, platform, or provider requirements.

Use of the App

You agree to use the Services only for lawful purposes and in compliance with these Terms. You are responsible for accurate account information, the confidentiality of your credentials, and activity under your account. Notify us promptly if you believe your account has been compromised.

Offline use and data sync: FreshFolio is an offline-first application. Data you enter while offline is stored locally on your device and is scheduled to sync when connectivity is restored. In a conflict between local and server-side data, server-side state may be authoritative. Unsynced changes can be lost through device failure, clearing app data, uninstalling the App, or signing out.

Pantry invitation links: Shared pantry invitations are delivered as single-use deep links. Clicking an invitation link constitutes a request to join the associated pantry. Links expire and cannot be reused once accepted or revoked by the pantry owner.

User Content and Ownership

• You retain ownership of the pantry records, shopping lists, recipes, images, and other content you create or upload ("User Content").
• You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and modify User Content only as reasonably necessary to operate, secure, maintain, and improve the Services, comply with law, and exercise the rights described in these Terms and the Privacy Policy.
• You agree not to upload harmful, illegal, or infringing content.

Shared Pantries and Multi-User Access

• You may invite other registered users ("Members") to a shared pantry. A Member's ability to view or change pantry data depends on the role and permissions assigned to that Member.
• You are responsible for invitations you send and for managing Member access. Members are responsible for their own conduct and changes.
• Members who contribute content to your shared pantry grant you a non-exclusive, royalty-free license to that content within the shared pantry context.
• If you are the pantry owner and delete your account, the shared pantry and its contents are scheduled for permanent deletion and Member access is revoked. If you are a Member but not the owner, deleting your account removes your access; the pantry and its data remain for the owner and other Members.
• We are not liable for disputes between pantry owners and Members regarding pantry content, access permissions, or data loss resulting from account deletion.

Transaction History and Data Retention

Pantry transaction records are part of the pantry's continuing audit history. We do not delete transaction records merely because they are old. They are retained with the pantry to support activity history, reports, item statistics, and price history, and are deleted when the pantry is permanently deleted. Removing or archiving an inventory lot does not erase its related transaction history. Other records may have different retention periods as described in the Privacy Policy.

Food Safety Disclaimer

IMPORTANT: FreshFolio is a tracking and organization tool, not a food safety authority.

• The App helps you track food expiration dates, but we do not guarantee the accuracy of any dates.
• Expiration dates may be user-entered, scanned via OCR, or retrieved from third-party databases and may contain errors.
• Estimated expiration dates: When no printed expiration date is entered or detected, the App may calculate an estimated date using a default shelf life value associated with the product category. These estimated dates are approximations only and are not a substitute for the manufacturer's printed expiration or "Best By" date. Always refer to the actual product packaging for authoritative date information.
• Refrigeration and storage conditions: The App records storage locations (such as Fridge, Freezer, or Pantry) as entered by you, but does not verify, monitor, or validate actual storage conditions, temperatures, or refrigeration requirements. Shelf life and food safety are significantly affected by how and where food is stored. The App's expiration tracking does not account for improper storage, temperature fluctuations, or failure to refrigerate. You are responsible for ensuring food is stored safely and in accordance with manufacturer guidance and applicable food safety standards.
• You are solely responsible for determining whether food is safe to eat. When in doubt, discard the item. No data shown in this App should override your own sensory judgment (sight, smell, texture) or the advice of food safety professionals.
• We strongly recommend following FDA food safety guidelines and USDA refrigeration and storage guidance, and using your best judgment at all times.
• We are not liable for foodborne illness, food poisoning, allergic reactions, or food waste resulting from use of this App, including from reliance on estimated expiration dates or recorded storage locations.
• If you have food allergies or dietary restrictions, always verify ingredients independently.
• Product information, including item names, categories, and nutritional details, surfaced through barcode scanning or item discovery features may be incomplete, outdated, or incorrect. Always verify product details before relying on them for dietary or health decisions.

Barcode Scanning and Product Data

• Product information retrieved through barcode scanning may come from Open Food Facts, UPCItemDB, our community catalog, AI services, and other product-data providers configured from time to time.
• We do not guarantee the accuracy, completeness, or currency of product information.
• Product images and descriptions are provided by third parties and may not reflect current packaging or formulations.

AI-Generated Content and Item Discovery

IMPORTANT: AI-generated content and automated item suggestions are provided for convenience only and may not always be accurate.

• AI-assisted features may generate recipe ideas, clean up ingredient lists, suggest substitutions, answer help questions, recommend or categorize items, read product labels, extract expiration dates, and extract receipt details (collectively, "AI-Generated Content"). Feature availability depends on your plan, platform, region, and current configuration.
• We use third-party AI service providers. Current or recently configured providers include Google Gemini and OpenAI, but a particular feature or request may use another provider. We may add, remove, or replace providers as quality, reliability, privacy protections, safety, availability, cost, and technical capabilities change. We do not promise that any particular model or provider will remain available.
• AI providers receive the content reasonably needed to perform the feature and process it under our arrangements with them and their applicable service terms. Our Privacy Policy explains the categories of information involved and how provider changes that materially affect our privacy practices will be disclosed.
• Item discovery features — including Pantry Essentials smart defaults, low-stock suggestions, automatic product categorization via Smart Tags, and barcode-matched product details — are generated automatically from third-party data sources and AI models. We do not guarantee their accuracy, completeness, or suitability for your specific needs.
• AI-Generated Content and item discovery suggestions are provided to the best of our knowledge at the time of generation, but information may be inaccurate, outdated, or unsuitable for your dietary requirements, allergies, or health conditions.
• You are solely responsible for reviewing and verifying all AI-Generated Content and item suggestions before acting on them, including before cooking, purchasing, or consuming any food items.
• We are not liable for any adverse outcomes — including foodborne illness, allergic reactions, nutritional harm, or financial loss — resulting from reliance on AI-Generated Content or automated item discovery features.
• If you have food allergies, intolerances, or specific dietary restrictions, always verify all ingredients and product information independently from a qualified source.

Recipe Import and Third-Party Content

• The App allows you to import recipes from third-party websites via URL ("Recipe Import"). FreshFolio retrieves and displays this content on your behalf using a web-based import feature.
• Imported recipe content remains the intellectual property of its original authors and publishers. FreshFolio does not claim ownership of any imported recipe content.
• You are solely responsible for ensuring that your use of imported recipe content complies with the terms of service and copyright policies of the originating website. We are not responsible for any copyright infringement arising from your import or use of third-party recipe content.
• Imported recipe data — including ingredients, steps, and nutritional information — may be inaccurate, incomplete, or outdated. Always verify recipe details before cooking or consuming any food items.
• We are not responsible for the content, accuracy, or availability of third-party websites accessed through the Recipe Import feature.

Subscriptions and Payments

• The App currently offers Standard and Pro plans (collectively, "FreshFolio subscriptions"). Available plans, features, prices, billing periods, taxes, promotions, and eligibility are shown at purchase and may change prospectively.
• Free Trial: New users receive a 30-day free trial of FreshFolio Pro features. No payment is required during the trial period and no credit card is charged automatically at trial end. After the trial expires, a paid subscription is required to continue accessing paid features. If you choose not to subscribe, the App enters a read-only mode — your data is fully retained and viewable, but you cannot add, edit, or remove pantry items until an active subscription is restored.
• Payments are processed by the app marketplace through which you subscribe. Subscription entitlements are managed by RevenueCat, Inc. RevenueCat receives the FreshFolio user ID and marketplace transaction and entitlement information needed to validate and manage subscription status. RevenueCat's privacy policy is available at https://www.revenuecat.com/privacy.
• We do not collect, process, or store your payment card information; all transactions are handled securely by the app marketplace.
• Paid subscriptions automatically renew unless canceled through your app-marketplace account before renewal in accordance with that marketplace's terms. Deleting FreshFolio or your FreshFolio account does not itself cancel a marketplace subscription.
• Refunds are subject to the refund policy of the app marketplace through which you subscribed. We do not issue refunds directly.

Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain personal information. It is incorporated into these Terms by reference.

Intellectual Property and User Contributions

All App software, design, logos, graphics, features, and trademarks are owned by ILLYRIA Solutions LLC. You may not copy, modify, or distribute them without our prior written permission.

User Contributions and Community Database: You may have the ability to contribute information to the App, such as custom product names, brands, categories, and uploaded product images or pictures (collectively, "User Contributions"). By submitting User Contributions, you grant ILLYRIA Solutions LLC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Contributions (including product information and images) to populate our community database, improve the App, and share it with other users of the App. You represent and warrant that you own or have the necessary rights and permissions to grant this license for all User Contributions you submit, and that your contributions do not infringe the intellectual property, privacy, or other rights of any third party. Once submitted, User Contributions may remain in our community database even if you delete your account or specific pantry items.

Prohibited Uses

You agree not to:

• Use the App for any illegal activities.
• Attempt to hack, disrupt, or reverse-engineer the App.
• Share account access or violate others' privacy.
• Upload false or misleading product information.
• Abuse the barcode scanning feature to spam third-party APIs.
• Use automated means to scrape, overload, probe, or access the Services except through interfaces we expressly provide.
• Submit secrets, payment-card data, private documents, or another person's sensitive information to camera, upload, receipt, or AI features without authorization.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted availability, error-free operation, successful synchronization, preservation of unsynced data, accurate expiration-date detection, or the accuracy of third-party or AI-generated content. Nothing in these Terms excludes warranties that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, food spoilage, foodborne illness, allergic reactions, or health-related harm. Our aggregate liability arising from the Services or these Terms is limited to the amount you paid for the Services during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold us harmless from third-party claims arising from your unlawful use of the Services, your User Content or User Contributions, or your material violation of these Terms or another person's rights.

Termination

You may stop using the Services and request account deletion at any time. We may limit, suspend, or terminate access if you materially violate these Terms, create security or legal risk, fail to pay applicable fees, or if required by law. Where reasonably practicable, we will provide notice and an opportunity to cure. Account deletion and pantry ownership affect what is deleted as described above and in the Privacy Policy. Provisions that by their nature should survive termination, including ownership, licenses for community contributions, disclaimers, liability limits, indemnity, and dispute provisions, will survive.

Governing Law

These Terms are governed by applicable United States federal law and the law of the U.S. state in which the Company is organized, without regard to conflict-of-law rules. Mandatory consumer protections in the jurisdiction where you live continue to apply.

Dispute Resolution

Before filing a formal claim, you and the Company agree to try in good faith to resolve the dispute by written notice and 30 days of informal discussions. Except for claims eligible for small-claims court, requests for temporary or injunctive relief, or where applicable law provides otherwise, disputes will be resolved by individual binding arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. Nothing in this section limits a right or remedy that cannot be waived under applicable law.

Modifications to the Service

We may add, modify, replace, suspend, or discontinue features, integrations, data sources, AI models or providers, plan offerings, or technical requirements. We will provide reasonable notice when a change materially reduces a paid Service during a current billing period, unless immediate action is reasonably needed for security, legal compliance, provider availability, or circumstances outside our control.

Changes to Terms

We may update these Terms as the Services, providers, or law change. We will post the revised Terms with a new effective date and provide additional notice by email, in-app message, or another reasonable method when a change is material. Changes apply prospectively unless law requires otherwise. If you do not agree to revised Terms, you must stop using the Services and may delete your account. Your continued use after the effective date constitutes acceptance to the extent permitted by law.
